Enforcement: Any breach of these Terms may result in the immediate suspension or permanent termination of your access without prior notice. You are responsible for any losses resulting from such violations, and we disclaim any liability for the consequences.

 

2. Disclaimer of Liability

We shall not be liable to you or any third party for any indirect, special, incidental, punitive, or consequential damages, including loss of revenue, profits, or business, arising from this Agreement or your use of the Services. This applies whether the claim arises from contract, warranty, or negligence, even if we have been advised of the possibility of such damages.

 

3. User Content

You retain full ownership of any materials you provide or transmit through the Services. By providing such materials, you represent and warrant that you have all necessary rights and permissions and that your content complies with all applicable laws and regulations.

We reserve the right to remove or restrict access to any content that we determine violates this Agreement.

 

4. Intellectual Property Rights

We retain all proprietary titles and legal entitlements pertaining to our branding and software, encompassing trademarks, copyrights, and patent protections (collectively, "Proprietary Materials"). Your use of these Proprietary Materials is strictly contingent upon our prior, express written authorization. In the absence of such approval, you are forbidden fromand shall not facilitate any third party inthe following: (a) reproducing, broadcasting, altering, republishing, translating, or disseminating any segment of the Proprietary Materials; or (b) leasing, vending, sublicensing, or otherwise commercially leveraging any portion of the Proprietary Materials or their related interests.

 

Except where we have provided explicit written consent, you lack the authority to—and must not solicit or aid others in—copying, conducting inverse analysis, deconstructing, or developing derivative applications based on our Software.

 

This Agreement does not constitute a conveyance of intellectual property from one entity to another. Furthermore, no rights to either party's intellectual property are bestowed under these Terms unless we have issued a formal written permit to that effect.

 

5. Service Disclaimer

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.

 

To the maximum extent permitted under relevant statutes, you assume all inherent risks associated with any materials or data retrieved, acquired, or accessed via the Services. This encompasses, without limitation, any potential for hardware impairment, data corruption, or the disappearance of content resulting from your utilization of the Services or any external third-party offerings.

 

6. Privacy

Your privacy is important to us. The collection and use of personal information are governed by our Privacy Policy. Please review it to understand how your data is handled.

 

7. Suspension and Termination

This Agreement remains effective until terminated by either party. You may terminate at any time by discontinuing use or deleting your account.

 

We may suspend or terminate your access if:

(a) Required for maintenance or updates;

(b) You violate these Terms;

(c) Changes to the Services have been communicated;

(d) Required by law;

(e) Your actions pose risks to the Services or other users.

 

Upon termination, your rights under this Agreement cease immediately.

 

8. Force Majeure

Neither party shall be liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, or government actions. The affected party should notify the other promptly and make reasonable efforts to mitigate the impact.

 

9. Amendments

We may update this Agreement from time to time to reflect service improvements, technological developments, or legal requirements.

 

In the event that such updates represent substantial modifications, we shall provide adequate prior notification (for instance, via this platform, direct alerts, or alternative suitable channels) before their implementation, ensuring you have the chance to evaluate the changes. You may elect to either agree to the amended terms or cease your utilization of the Services. Your persistent engagement with the Services following the effective date of the revised terms signifies your full consent to and adherence to the renewed Agreement.

 

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of your country or place of residence, subject to applicable consumer protection laws.

 

Examples:

(a) United States Users: Any claims or disputes shall be governed by the laws of the state in which you reside, without regard to conflict of law principles. All arbitration provisions are governed by the Federal Arbitration Act. You and we agree that, except for matters subject to arbitration, the state or federal courts located in California shall have exclusive jurisdiction over disputes arising under these Terms. Both parties expressly waive any right to a jury trial or to participate in a class or representative action in connection with this Agreement.

(b) EU Users (Consumers): Any disputes arising out of or in connection with this Agreement shall be brought before the courts of your place of residence or habitual domicile. You may also file a complaint through the European Union Online Dispute Resolution (ODR) platform at: https://ec.europa.eu/consumers/odr

(c) Australian Users: Nothing in this Agreement is intended to exclude, restrict, or modify any rights or remedies conferred by the Competition and Consumer Act 2010 (Cth) or any other legislation that cannot be excluded. Where statutory guarantees apply, our liability will, at our option, be limited to: (A) in the case of goods, replacement, repair, or reimbursement of the cost of replacement or repair; or (B) in the case of services, the re-supply of the services or payment of the cost of having the services re-supplied. In all other cases, disputes shall be governed by the laws of our place of business and resolved by the courts of that jurisdiction.
